LOGOSENT SPARROW product End-User Licensing Agreement
IMPORTANT PLEASE READ THE FOLLOWING TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT CAREFULLY BEFORE CONTINUING WITH THIS PROGRAM INSTALLATION :
Logosent Sparrow End-User License Agreement (“EULA”) is a legal agreement between you (either an individual or an entity installing and/or using this software, here after referred to as the “licensee”) and the company Logosent Semiconductors India Pvt. Ltd. (here after referred to as the “licenser”) registered in Bengaluru India (CIN : U74900KA2015PTC079329). For the Logosent SParrow identified above, includes associated software components, graphical user interface, RTL code, automation scripts, media, printed materials, and “online” or electronic documentation (registered under United States Copyright office in accordance with title17, registration number TXu 2-047-612, here in after referred to as “Logosent SParrow”).
Any and all RTL and C/C++ code generated by Logosent SParrow are copyright protected. Additionally, patent applications also have been filed on various techniques deployed in Logosent SParrow software and the accompanying RTL/C libraries for achieving specific functionality and/or performance. However, the licensee is free to use all RTL and C/C++ code generated by Logosent Sparrow as-is for commercial or academic purposes during or beyond the license validity of the purchases software, subject to the condition that any such usage will not be in a manner detrimental to or competing against the business of licensor.
Copying/re-engineering of the Logosent SParrow library components in parts or in full for building other 3rd party components or similar tools is prohibited as per this EULA. Any re-sale of the Logosent SParrow Licenses or Logosent SParrow related products is prohibited by the EULA and the international Copyright laws. If the licensee has any specific needs requiring customization or enhancements of the Logosent SParrow library components, the licensee may contact the licensor with such requests at support@logosent.com.
The installation package may include certain reference design RTL/C/C++ codes and associated build scripts published by other 3rd party companies whose products are supported by Logosent SParrow. Such reference designs are freely available to the public being published in the websites promoted by those 3rd party companies and are NOT TO BE considered as part of the Logosent SParrow software license obtained by the licensee from the licensor. Such reference designs are included only as a courtesy to the licensee in order to help avoid having to download them independently from the 3rd party websites and such items are not charged as part of the Logosent SParrow license fees.
Up on installing or otherwise using the Logosent SParrow software or any code generated by Logosent SParrow, the licensee agree to be bound by the terms of this EULA. This license agreement represents the entire agreement concerning the program between the licensee and the licensor, and supersedes any prior proposal, representation, or understanding between the parties.
If you do not agree to the terms of the EULA described above, do not install or use the Logosent SParrow software and the associated code libraries. By clicking on the YES/Accept/Agree button of the EULA form, the licensee is acknowledging that the licensee has read and understood all parts of the EULA listed above and the licensee is entering a contractual agreement with the licensor in accordance with all clauses of the agreement listed above.

APPLICABLE LAW

DISPUTES
Any dispute relating in any way to your visit to LOGOSENT SEMICONDUCTORS or to products you purchase through LOGOSENT SEMICONDUCTORS shall be submitted to confidential arbitration in KARNATAKA, INDIA, except that, to the extent you have in any manner violated or threatened to violate LOGOSENT SEMICONDUCTORS’s intellectual property rights, LOGOSENT SEMICONDUCTORS may seek injunctive or other appropriate relief in any state or federal court in the state of KARNATAKA, INDIA, and you consent to exclusive jurisdiction and venue in such courts. Arbitration under this agreement shall be conducted under the rules then prevailing of the American Arbitration Association. The arbitrators award shall be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under this Agreement shall be joined to an arbitration involving any other party subject to this Agreement, whether through class arbitration proceedings or otherwise.
